Welcome to Orde.ro! These Terms of Service ("Terms") govern your use of our website, platform, and services (collectively, "Services"). By accessing or using Orde.ro, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Definitions

• Orde.ro: The digital restaurant menu and ordering platform that connects restaurant owners ("Administrators") with their customers ("End Clients").
• Administrator: Any business or individual who registers on Orde.ro to create and manage digital menus, accept orders, and process payments for their restaurant or food service establishment.
• End Client: Any individual who accesses a restaurant's digital menu through Orde.ro to browse products, place orders, or make purchases.
• Partner Location: A restaurant or food service business that uses Orde.ro's platform to manage their digital presence and online ordering.

2. Account Registration and Eligibility

To use our Services as an Administrator, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Provide accurate, complete, and current registration information.
• Maintain the security of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Comply with all applicable local, state, national, and international laws and regulations.

3. Free Trial Period

Orde.ro offers a 30-day free trial for new Administrators to explore and test our platform. During the free trial:

• No credit card or payment information is required to start or use the trial.
• Most platform features are available for testing, except for certain premium add-ons (Custom Domain, Custom Site, Mobile Apps) which require an active subscription.
• Locations may accept up to 50 free orders during the trial/preview period.
• Each user is entitled to one free trial only. Creating multiple accounts to obtain additional trials is prohibited and may result in account termination.
• After the trial period ends, you must subscribe to a paid plan to continue using the Services.

4. Subscription Plans and Payments

Orde.ro offers various subscription tiers (QR Menu, Orders Menu, Full Unlock) with monthly and yearly billing options. By subscribing to a paid plan:

• You authorize us to charge your selected payment method for the subscription fees.
• Subscriptions automatically renew at the end of each billing period unless canceled.
• Prices are subject to change, but we will notify you of any changes before they take effect.
• All payments are processed securely through Stripe. We do not store your full credit card information on our servers.
• Add-on features (Custom Domain, Custom Site, Mobile Apps) may have additional fees, including one-time setup fees where applicable.

5. Refund Policy

Since we provide a full 30-day free trial period for testing purposes, all payments made after the trial are considered final. However, we understand that mistakes can happen:

• Refund requests will be evaluated on a case-by-case basis at our sole discretion.
• To request a refund, contact our support team via the live chat on our website or email us with your account details and transaction information.
• Refunds for yearly subscriptions, if approved, will be prorated based on the unused portion of the subscription period.
• One-time setup fees (e.g., for Custom Domain or Mobile App setup) are generally non-refundable once the setup process has begun.
• Refunds are not available for services that have been fully rendered or for disputes arising from user error or misuse.

6. Acceptable Use Policy

You agree to use Orde.ro only for lawful purposes and in accordance with these Terms. You must NOT use the platform to:

• Engage in any illegal activities, including but not limited to fraud, money laundering, or selling prohibited items.
• Upload, display, or distribute pornographic, obscene, or sexually explicit content.
• Conduct or promote scams, phishing, pyramid schemes, or other deceptive practices.
• Upload content that is defamatory, harassing, hateful, violent, or promotes discrimination based on race, ethnicity, religion, gender, sexual orientation, or disability.
• Infringe on the intellectual property rights of others, including copyrights, trademarks, or patents.
• Attempt to hack, disrupt, or compromise the security of our platform, servers, or other users' accounts.
• Use the platform for any purpose other than restaurant menu management and food ordering services.
• Sell or distribute controlled substances, weapons, or other regulated goodswithout proper licensing and compliance with applicable laws.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without notice or refund.

7. Customer Support

Orde.ro provides customer support to assist Administrators with platform-related questions and issues:

• Live Chat Support is available through our website for all subscription tiers.
• Support is provided on a best-effort basis and is not guaranteed to be available 24/7.
• Premium support options (such as WhatsApp support and priority queue) are available for higher-tier subscription plans.
• Support does not extend to issues caused by third-party services, user modifications, or factors outside our control.

8. Disclaimers and Limitation of Liability

• Orde.ro is not responsible for any errors, bugs, downtime, data loss, or other technical issues that may occur on the platform. We strive to maintain high availability and reliability, but cannot guarantee uninterrupted service.
• We are not liable for any damages, whether direct, indirect, incidental, special, consequential, or punitive, arising from your use of the Services, including but not limited to lost profits, lost revenue, or business interruption.
• Administrators are solely responsible for the accuracy of their menu information, pricing, product descriptions, allergen information, and compliance with local food safety and business regulations.
• Orde.ro acts as a technology platform provider only. We are not a party to transactions between Administrators and End Clients, and are not responsible for the quality, safety, or legality of products sold.
• We are not responsible for content uploaded by Administrators, including images, descriptions, or any other materials. Copyright and legal responsibility for such content rests solely with the Administrator.

9. Indemnification

You agree to indemnify, defend, and hold harmless Orde.ro, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Any content you upload, post, or transmit through the Services.
• Your infringement of any third-party rights, including intellectual property rights.

10. Intellectual Property

• All content on Orde.ro, including text, graphics, logos, software, and design elements, is the property of Orde.ro or its licensors and is protected by copyright, trademark, and other intellectual property laws.
• Administrators retain ownership of their uploaded content (menus, images, descriptions) but grant Orde.ro a non-exclusive, worldwide license to use, display, and distribute such content solely for the purpose of providing the Services.
• Unauthorized reproduction, distribution, or modification of any Orde.ro content is strictly prohibited.

11. Account Termination

• You may cancel your subscription at any time through your account settings or by contacting our support team.
• Orde.ro reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or any other reason at our sole discretion.
• Upon termination, your right to access the Services will cease immediately. Data associated with your account may be deleted after a reasonable period.
• Termination does not relieve you of any payment obligations for services already rendered.

12. Modifications to Terms

Orde.ro reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. We will make reasonable efforts to notify users of significant changes via email or platform notifications. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Romania. Before pursuing legal action, parties agree to attempt to resolve disputes through good-faith negotiation.

14. Third-Party Services

Orde.ro integrates with various third-party services to provide functionality:

• Stripe for payment processing.
• Google for authentication (OAuth) and maps services.
• Twilio for SMS and WhatsApp notifications (where enabled).
• OpenAI and Anthropic for AI-powered menu transcription features.

Your use of these third-party services is subject to their respective terms of service and privacy policies. Orde.ro is not responsible for the availability or performance of third-party services.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
